Vendor Agreement

Last updated July 4, 2026. This Vendor Agreement governs how independent vendors list, price, fulfill, and get paid for event-rental equipment and event services on the PartiStack marketplace, and how liability for those rentals and services is allocated. It supplements, and should be read together with, the PartiStack Terms of Service, Cancellation & Refunds policy, and Privacy Policy. By listing on PartiStack or accepting bookings, you agree to be bound by this Agreement.

Independent business, not an employee or agent

You are an independent business or independent contractor. Nothing in this Agreement or in your use of PartiStack creates an employment, agency, partnership, joint venture, or franchise relationship between you and PartiStack, Inc. You are not authorized to bind PartiStack, to make representations on its behalf, or to hold yourself out as its employee, agent, or representative. You control your own business, including how you source, store, prepare, price, deliver, set up, operate, and maintain your rental items and services, your own staff and subcontractors, your own tools and vehicles, your own schedule, and your own methods of work. PartiStack provides a technology marketplace and payment facilitation only; it does not own, operate, inspect, control, or supervise your inventory or services, and it is not a party to the rental or service contract formed between you and the customer.

Eligibility and accurate business information

To list on PartiStack you must be legally able to enter into binding contracts, operate a legitimate event-rental or event-services business, and provide accurate, current, and complete business information, including your legal business name, entity type, address, contact details, and tax identification. PartiStack currently serves the Los Angeles and Orange County, California market, and you represent that you are lawfully able to serve that area. You must keep your account information, availability, pricing, and payout details up to date, and you are responsible for all activity under your account and for keeping your credentials secure. Providing false, misleading, or outdated information is a breach of this Agreement and may result in suspension or removal.

Licenses, permits, and insurance

You are solely responsible for obtaining and maintaining, at your own expense, all licenses, permits, registrations, certifications, and approvals required to operate your business and to provide the specific equipment and services you list, including any permits related to inflatables, generators, tents, amusement devices, food handling, alcohol service, or amplified sound. You must carry and keep in force appropriate insurance for your business, including commercial general liability coverage adequate for the rentals and services you offer, and any workers' compensation, commercial auto, or product-liability coverage required by law or prudent for your operations. PartiStack does not provide, procure, or guarantee any insurance for you, and its collection of insurance confirmations or expiration dates does not verify, endorse, or assume responsibility for the adequacy of your coverage. You agree to provide proof of coverage on request and to promptly disclose any lapse.

Listing accuracy and lawful, safe equipment

You are responsible for the accuracy of every listing, including descriptions, photos, dimensions, capacities, quantities, condition, availability, delivery areas, setup requirements, safety instructions, age or supervision requirements, and pricing. You represent that you own or have the legal right to rent every item you list, that all equipment is clean, functional, well maintained, and safe for its intended use, and that it complies with applicable safety standards, manufacturer instructions, and law. You must not list counterfeit, stolen, recalled, unsafe, or misrepresented items, and you must promptly correct or remove any listing that becomes inaccurate. Photos and descriptions must reflect the actual items a customer will receive.

Pricing, platform service fee, and payouts

You set your own prices, deposits, delivery fees, and any optional add-ons, subject to law and to a genuine, non-deceptive presentation of total cost. PartiStack charges a platform service fee for use of the marketplace and payment facilitation, currently approximately five percent collected from the customer and approximately five percent deducted from the vendor, together approximately ten percent of the item subtotal; the applicable fee schedule is disclosed in your vendor dashboard and may be updated on notice. Customer payments are collected and vendor payouts are made through Stripe using Stripe Connect Express connected accounts, and PartiStack uses destination charges so that funds are routed to your connected account net of applicable fees. PartiStack does not guarantee any level of bookings, earnings, or search placement.

Stripe Connected Account Agreement

To receive payouts you must create and maintain a Stripe Connect Express account and complete Stripe's identity, business, and banking verification. Your use of Stripe is governed by the Stripe Connected Account Agreement and the Stripe Services Agreement, which you accept directly with Stripe as part of onboarding and which are incorporated into this Agreement by reference. Stripe, not PartiStack, controls payout timing, holds, reserves, verification requirements, and account restrictions, and Stripe may withhold or reverse funds in cases of suspected fraud, disputes, chargebacks, or regulatory requirements. You are responsible for keeping your Stripe account in good standing and for providing accurate payout and tax information; if your Stripe account is restricted or closed, PartiStack may be unable to pay you until the issue is resolved with Stripe.

Sales tax and merchant of record

You are the merchant of record for your rentals and services and are responsible for determining, charging where required, collecting, reporting, and remitting all applicable sales, use, rental, occupancy, and other transaction taxes on your bookings. Where the platform routes a tax amount to you as part of a payout, that amount is provided for you to remit to the appropriate authorities, and PartiStack does not thereby become the tax collector, filer, or remitter for your transactions. You are responsible for your own income and business taxes, and no taxes will be withheld from your payouts by PartiStack except as required by law or by Stripe. You should consult your own tax advisor about your obligations, and you agree to indemnify PartiStack for any tax, penalty, or interest assessed against it as a result of your tax obligations. Where a marketplace-facilitator law makes PartiStack the collector for a particular tax by operation of law, the parties will cooperate to comply with that law.

Fulfillment, delivery, setup, and safety

You are solely responsible for fulfilling every booking you accept, including timely and safe delivery, professional setup and takedown where offered, pickup, and any staffing or operation of equipment during the event. You must honor the event date, delivery window, and location the customer booked, communicate promptly and professionally, and provide clear safety and operating instructions to the customer. You are responsible for the condition and safe operation of your equipment throughout the rental, for anchoring, weighting, powering, and inspecting items appropriately, for complying with capacity and weather guidance for items such as tents and inflatables, and for ensuring that anyone you send to a site is trained and authorized. Any injury, property damage, or loss arising from your equipment, services, delivery, setup, or staff is your responsibility, not PartiStack's.

Cancellation, damage, and deposit policies

You set your own cancellation, refund, damage, cleaning, late-return, and missing-item policies within the framework of the PartiStack Cancellation & Refunds policy and applicable law, and those policies must be clearly and accurately presented to customers before booking. You are responsible for administering your policies fairly and consistently, for documenting item condition before and after each booking, and for supporting any damage, cleaning, or missing-item claim with reasonable evidence. Disputes over these charges are resolved between you and the customer; PartiStack may, at its discretion, help facilitate a resolution but does not guarantee any outcome and is not responsible for funding refunds, damage claims, or chargebacks arising from your bookings.

Prohibited items and conduct

You may not list or provide items or services that are illegal, unsafe, recalled, counterfeit, stolen, or misrepresented, and you may not use PartiStack for unlawful activity, fraud, harassment, discrimination, or circumvention of platform fees, payments, or safety policies. Prohibited conduct includes soliciting customers to transact off-platform to avoid fees, creating fake accounts or fake reviews, manipulating search or availability, scraping or interfering with the platform, and providing weapons, hazardous materials, or any item or service prohibited by law or by PartiStack policy. You must not discriminate against customers on any basis protected by law, and you must serve customers professionally and safely.

Compliance with law

You must comply with all laws, regulations, and industry standards applicable to your business, your equipment, and your services, including consumer-protection, safety, health, employment, vehicle, environmental, permitting, and tax laws in California and any locality you serve. You are responsible for classifying, paying, insuring, and supervising your own workers and subcontractors and for their conduct on the job. You agree that PartiStack's role as a neutral technology and payments platform does not make it responsible for your legal compliance, and you will not represent otherwise to customers or authorities.

Vendor indemnification and hold harmless

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless PartiStack, Inc. and its officers, directors, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, injuries, deaths, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your rentals or services, your equipment, your delivery, setup, operation, or takedown, your staff or subcontractors, any bodily injury or property damage occurring in connection with your bookings, your listings or content, your breach of this Agreement or the Terms, your violation of any law, or your failure to carry adequate insurance, obtain required permits, or remit required taxes. This obligation survives termination of this Agreement and applies regardless of whether PartiStack is later found to have been negligent, except to the extent a claim is finally determined to have been caused solely by PartiStack's own gross negligence or willful misconduct.

Suspension, removal, and verification status

PartiStack may, at its discretion and with or without prior notice where reasonable, suspend, restrict, or remove your account, listings, or individual bookings, adjust your verification status, or decline to display your listings, if you breach this Agreement or the Terms, if your insurance, permits, or Stripe account lapse or cannot be verified, if we receive credible safety, fraud, or legal concerns, if customers report significant problems, or if we are required to act by law or by a payment or hosting provider. Your ability to accept bookings may depend on maintaining a valid verification status, current insurance confirmation, an accepted current version of this Agreement, and a Stripe account in good standing. Suspension or removal does not relieve you of obligations for bookings already accepted or of your indemnity and payment obligations.

Customer data and privacy

When you fulfill bookings you will receive customer personal information such as names, contact details, event dates, and delivery locations. You may use this information only to fulfill and support the specific booking, to provide required safety information, and to comply with law, and you must handle it securely and in accordance with the PartiStack Privacy Policy and applicable privacy laws, including the CCPA and CPRA. You may not sell customer data, use it for your own marketing without a lawful basis and any required consent, retain it longer than needed, or disclose it except as necessary to fulfill the booking or as required by law. You are responsible for the security of customer data in your possession and must promptly notify PartiStack of any suspected data breach involving marketplace customer information.

Term, termination, and effect

This Agreement applies for as long as you maintain a vendor account or have active or pending bookings on PartiStack. Either party may terminate the vendor relationship at any time, subject to completing or properly canceling any bookings already accepted and to your continuing obligations. On termination, your listings will be removed or hidden, but provisions that by their nature should survive, including those on taxes, indemnification, limitation of liability, dispute resolution, and data handling, will continue in effect. Termination does not entitle you to any refund of fees or to release from obligations arising before termination.

Limitation of liability

To the fullest extent permitted by law, PartiStack and its affiliates will not be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for lost profits, lost bookings, lost data, business interruption, or the acts, omissions, conduct, or equipment of customers or third parties, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages. To the extent PartiStack is found liable to you notwithstanding the foregoing, its total aggregate liability arising out of or relating to this Agreement or the marketplace will not exceed the total platform service fees PartiStack retained from your bookings during the three months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Dispute resolution and arbitration

Except where prohibited by law, disputes between you and PartiStack arising out of or relating to this Agreement or the marketplace will be resolved through the same binding individual arbitration and class-action waiver described in the PartiStack Terms of Service, which are incorporated here by reference, and you and PartiStack each waive the right to a jury trial and to participate in a class or representative action. This provision does not govern disputes between you and a customer, which are addressed under your own policies, the Cancellation & Refunds policy, and the Terms. Nothing here prevents either party from seeking injunctive relief for intellectual-property or unauthorized-access matters where permitted.

Governing law and changes

This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws principles, and PartiStack, Inc. is located at 928 North Scott Avenue, Montebello, CA 90640, USA. PartiStack may update this Agreement as the marketplace and applicable law evolve, and material changes will be communicated through the vendor dashboard or by email; your continued listing or acceptance of bookings after an update, or your re-acceptance of the then-current version, constitutes acceptance of the revised Agreement. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
