Acceptance of these terms
These Terms of Service constitute a legally binding agreement between you and PartiStack, Inc. ("PartiStack," "we," "us," or "our"), a company located at 928 North Scott Avenue, Montebello, CA 90640, USA. By accessing or using the PartiStack website, mobile experiences, or any related services (collectively, the "Platform"), by creating an account, or by booking, listing, or paying for anything through the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, Cancellation and Refund Policy, and, if you are a vendor, the Vendor Agreement, each of which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Platform. These Terms apply to all users, including customers who book event rentals and services, vendors who list them, and visitors who browse the Platform.

Eligibility and account registration
You must be at least 18 years old and able to form a legally binding contract under applicable law to use the Platform, and the Platform is not directed to and may not be used by children under 13. If you use the Platform on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms, in which case "you" refers to that entity. To access certain features you must register for an account and provide accurate, current, and complete information, and you agree to keep that information up to date. You are responsible for safeguarding your login credentials, for all activity that occurs under your account, and for promptly notifying us at hello@partistack.com of any unauthorized access or suspected security breach. We may refuse, suspend, or terminate accounts, remove content, and reclaim usernames at our discretion, including where we reasonably believe a user has violated these Terms or created risk or legal exposure for PartiStack.

What PartiStack is, and its limited role
PartiStack operates an online marketplace that connects customers who are planning events with independent local vendors who rent party and event equipment (such as tents, tables, chairs, inflatables, audiovisual gear, and décor) and provide event services (such as DJ, catering, and photography). Customers browse listings, book for a specific event date and delivery location, and pay through the Platform, while vendors list their inventory and services, fulfill orders, and receive payouts. It is essential that you understand the following: PartiStack is only a neutral venue, technology provider, and payment facilitator. PartiStack does not own, operate, inspect, deliver, set up, store, or control any rental inventory, and does not itself provide any of the equipment or services listed on the Platform. All items and services are offered by independent third-party vendors who are separate businesses or contractors and are not employees, agents, partners, joint venturers, or representatives of PartiStack. We make no representation that any vendor, item, or service meets your requirements or any legal standard.

PartiStack is not a party to the rental or service contract
When a customer books an item or service, the resulting rental or service contract is formed solely and directly between the customer and the independent vendor. PartiStack is not a party to that contract, is not a rental company, equipment supplier, event planner, caterer, or service provider, and does not assume any of the obligations or liabilities of either the customer or the vendor. Vendors are solely responsible for their listings, pricing, availability, inventory, delivery, setup, teardown, service quality, condition and safety of equipment, staffing, and for obtaining all permits, licenses, insurance, and legal compliance applicable to what they offer. Any dispute, claim, injury, loss, or damage arising out of or relating to a booking, an item, a service, an event, or the conduct of a vendor or customer is a matter between the customer and the vendor, and you agree to look solely to the other party (not to PartiStack) for resolution and remedy. PartiStack may, but is not obligated to, assist in facilitating communication or disputes, and does so without accepting any responsibility for the outcome.

Bookings, payments, and the platform service fee
Before booking, customers are responsible for reviewing item and service details, the event date, the delivery and setup location and access, deposits, delivery fees, applicable taxes, vendor-specific rules, and cancellation terms, all of which may vary by item and by vendor. Placing a booking is an offer to contract with the vendor on those terms, and a booking is confirmed when accepted through the Platform. PartiStack charges a platform service fee for use of the marketplace, which is approximately five percent charged to the customer and approximately five percent charged to the vendor, for a combined fee of roughly ten percent of the item or service subtotal, disclosed at or before checkout and subject to change on a prospective basis. Payments from customers and payouts to vendors are processed by Stripe, including through Stripe Connect Express accounts using destination charges, and your use of those payment services is additionally subject to the Stripe Connected Account Agreement and Stripe Services Agreement. By transacting on the Platform you authorize us and Stripe to charge your payment method for the total booking amount, fees, taxes, and any additional charges (such as damage, late-return, or extra-labor charges) that are properly owed under the applicable booking terms.

Taxes
Vendors are the merchant of record for their listings and are solely responsible for determining, collecting, reporting, and remitting any sales, use, rental, occupancy, or other taxes applicable to the items and services they provide. Where taxes are collected at checkout, they are routed to the applicable vendor to remit to the relevant tax authorities, and PartiStack is not the seller or tax collector of record and does not assume responsibility for the accuracy of any tax determination made by a vendor. You are responsible for any taxes applicable to your own use of the Platform or your own income earned through it, and you should consult your own tax advisor regarding your obligations.

Cancellations, refunds, and disputes
Cancellation and refund rights are governed by our Cancellation and Refund Policy, together with the vendor-specific terms and item details presented at the time of booking and any rights you have under applicable law. Because vendors set many of their own cancellation windows and conditions, the amount and availability of any refund depends on those terms and the circumstances of the cancellation. PartiStack may, at its discretion, help facilitate the resolution of disputes between customers and vendors, but does not guarantee any particular outcome and is not obligated to issue refunds beyond what the applicable policy and the vendor's terms require. Initiating a chargeback without first attempting to resolve an issue through the Platform, or engaging in fraud, abuse, or policy violations, may result in the reversal of transactions and the suspension or termination of your account.

Vendor obligations
Vendors must provide accurate and non-misleading listings, own or hold the rights to rent or provide everything they list, honor confirmed bookings, communicate professionally and promptly, maintain equipment in safe and working condition, and comply with all applicable laws, taxes, permits, licensing, insurance, and health and safety requirements. Vendors must not post unsafe items, counterfeit or stolen goods, fake reviews, or engage in discriminatory, deceptive, or unlawful practices. These Terms describe vendor obligations only at a high level; the complete and controlling terms that apply to vendors, including payout mechanics, service standards, insurance expectations, indemnity, and account requirements, are set out in the Vendor Agreement, which each vendor must accept and which supplements these Terms. In the event of a conflict between these Terms and the Vendor Agreement with respect to a vendor's activities, the Vendor Agreement controls.

Customer responsibilities and assumption of risk
Customers must provide accurate event details, ensure safe and lawful delivery and setup access, communicate in a timely manner, use rented items only for their intended and lawful purpose, and exercise reasonable care to protect items from loss, theft, or damage while in their possession or control. Customers may be responsible for charges arising from late returns, missing or damaged items, unsafe conditions, denied access, or additional labor, as described at booking or as required to resolve a dispute. You expressly acknowledge that renting event equipment (including but not limited to tents, staging, inflatables, and audiovisual gear) and hosting events involve inherent risks of property damage and personal injury, that PartiStack neither supplies nor inspects any equipment and is not present at any event, and that you voluntarily assume all such risks. You are responsible for the safety of your event, your guests, and your premises, and for verifying that any equipment or service is appropriate, properly installed, and safely operated by the vendor or by qualified persons.

User conduct and prohibited uses
You agree not to use the Platform for any unlawful, fraudulent, harmful, or abusive purpose. Prohibited conduct includes, without limitation: listing or renting unsafe, counterfeit, stolen, recalled, or illegal items; offering weapons, hazardous materials, or anything requiring a license the vendor does not hold; harassment, hate speech, discrimination, threats, or violations of others' privacy or intellectual property; posting false, deceptive, or fraudulent content, fake accounts, or fake or manipulated reviews; scraping, data mining, reverse engineering, introducing malware, or interfering with or overburdening the Platform or its security; circumventing the Platform's payment system, fee structure, or contacting other users to complete transactions off-Platform in order to avoid fees; and any attempt to bypass, disable, or defeat security or access controls. We may investigate and take appropriate action against any suspected violation, including removing content, limiting features, suspending or terminating accounts, and cooperating with law enforcement.

Reviews, user content, and license
You are responsible for all content you submit, post, or display on the Platform, including listings, photographs, descriptions, messages, support communications, and reviews, and you represent that you have the necessary rights to it and that it is accurate, lawful, non-infringing, non-deceptive, and not harmful or harassing. Reviews must reflect genuine experiences, and buying, selling, soliciting, or manipulating reviews is prohibited. You retain ownership of your content, but you grant PartiStack a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, modify, adapt, publish, translate, distribute, and display that content in connection with operating, promoting, and improving the Platform. This license continues for content that remains on the Platform or that others have retained (such as a review associated with a completed booking) even after you remove your content or close your account. We may, but are not obligated to, review, moderate, remove, or limit content that we believe violates these Terms or harms marketplace trust and safety.

Intellectual property
The Platform and all of its content, features, and functionality, including the PartiStack name and logo, software, text, graphics, design, and the compilation and arrangement of content, are owned by PartiStack or its licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform for its intended purposes. You may not copy, modify, distribute, sell, lease, frame, reverse engineer, or create derivative works from any part of the Platform, or use our trademarks, branding, or any content without our prior written permission, except as expressly permitted by these Terms or applicable law. All rights not expressly granted to you are reserved by PartiStack and its licensors.

Third-party services
The Platform relies on and integrates with third-party services to function, including Stripe for payments and payouts, Supabase for database, authentication, and file storage, Vercel for hosting and content delivery, Resend for transactional email, Upstash for rate limiting, and Google for optional sign-in, and it may include additional providers such as bot-protection services over time. The Platform may also contain links to or content from third parties. Your use of third-party services may be subject to those providers' own terms and privacy policies, and PartiStack does not control and is not responsible for the availability, accuracy, content, security, or practices of any third-party service. Any dealings you have with third parties are solely between you and that third party, and PartiStack disclaims all liability arising from such dealings to the fullest extent permitted by law.

Disclaimer of warranties
The Platform and all content, listings, and services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, PartiStack disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement, and any warranties arising from course of dealing or usage of trade. PartiStack does not warrant that the Platform will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the Platform is free of viruses or other harmful components. Without limiting the foregoing, PartiStack makes no warranty and assumes no responsibility for any vendor, customer, listing, item, service, event outcome, the condition, safety, legality, or quality of any equipment or service, the truth or accuracy of any listing, review, or user content, search ranking, earnings, booking volume, or the conduct of any user, whether online or offline. No advice or information obtained from PartiStack creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

Limitation of liability
To the fullest extent permitted by law, in no event will PartiStack or its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to these Terms or your use of (or inability to use) the Platform, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not PartiStack has been advised of the possibility of such damages. This includes, without limitation, damages arising from the acts, omissions, or conduct of any vendor or customer, the condition, safety, or performance of any rental item or service, any event, any third-party service, or any personal injury or property damage. To the fullest extent permitted by law, PartiStack's total aggregate liability for all claims arising out of or relating to these Terms or the Platform will not exceed the greater of the total platform service fees you paid to PartiStack in the twelve months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars ($100). These limitations are a fundamental basis of the bargain between you and PartiStack and apply even if a stated remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some may not apply to you.

Indemnification
You agree to defend, indemnify, and hold harmless PartiStack and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your access to or use of the Platform; your listings, bookings, content, or transactions; any event you host, attend, or supply; your violation of these Terms or any applicable law or the rights of any third party; any dispute between you and another user; and, if you are a vendor, any item or service you provide and any injury, damage, or loss connected with it. PartiStack reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim. This indemnification obligation survives the termination of these Terms and of your account.

Dispute resolution, binding arbitration, and class action waiver
Please read this section carefully, as it affects your legal rights. Except as otherwise provided below, you and PartiStack agree to first attempt to resolve any dispute informally by contacting hello@partistack.com and negotiating in good faith for at least thirty days before initiating arbitration. If the dispute is not resolved, you and PartiStack agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved exclusively through final and binding individual arbitration administered under the rules of a nationally recognized arbitration provider, rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies. The arbitration will be conducted in or near Los Angeles County, California, unless the parties agree otherwise or applicable law requires a different location. YOU AND PARTISTACK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, and the arbitrator may not consolidate claims or preside over any class or representative action. You may opt out of this arbitration agreement and class action waiver by sending written notice to hello@partistack.com within thirty days of first accepting these Terms, in which case disputes will be resolved in the state or federal courts located in Los Angeles County, California. This section does not prevent either party from seeking injunctive or equitable relief to protect intellectual property or Platform security.

Governing law
These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the State of California and, where applicable, the Federal Arbitration Act, without regard to conflict-of-law principles. Subject to the arbitration and class action waiver provisions above, and except for claims that may be brought in small-claims court, you agree that any judicial proceeding permitted under these Terms will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any mandatory consumer protections available to you under the laws of your place of residence.

Termination
You may stop using the Platform and close your account at any time. We may suspend or terminate your access to all or part of the Platform, remove content, or cancel bookings, with or without notice, if we reasonably believe you have violated these Terms, created risk or possible legal exposure for PartiStack or other users, engaged in fraud or abuse, or if we discontinue the Platform or are required to do so by law. Upon termination, your right to use the Platform ceases immediately, but any obligations that by their nature should survive, including payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and license grants for content that remains on the Platform, will survive. Termination does not relieve you of amounts owed for bookings placed before termination or of liability for prior breaches.

Changes to these terms
We may update these Terms from time to time as the Platform and our business evolve or as required by law. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice through the Platform or by email. Changes are effective when posted unless otherwise stated, and they will not apply retroactively to disputes that arose before the effective date. Your continued access to or use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may close your account.

General terms
These Terms, together with the Privacy Policy, Cookie Policy, Cancellation and Refund Policy, and, for vendors, the Vendor Agreement, constitute the entire agreement between you and PartiStack regarding the Platform and supersede any prior agreements on that subject. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision, and any waiver must be in writing to be effective. You may not assign or transfer these Terms or your account without our prior written consent, while PartiStack may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries to these Terms. Notices to you may be provided through the Platform or by email, and headings are for convenience only.
